Terms and Conditions

Welcome to License LinkUp, a matching and deal enablement platform designed for licensed real estate professionals navigating interstate transactions. The platform connects agents with out-of-state Brokers of Record (BoRs) or Transaction Coordinators (TCs) to ensure compliance, streamline collaboration, and close deals seamlessly. License LinkUp is owned and operated by Licenselinkup, LLC ("we," "us," or "our").

By accessing or using the License LinkUp platform, website, mobile applications, or any related services (collectively, the "Platform"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you must not access or use the Platform.

1. Eligibility and User Accounts You must be a licensed real estate professional (agent, broker, or transaction coordinator) in good standing in your jurisdiction to use the Platform. You represent and warrant that:

• You are at least 18 years old
• You hold all required real estate licenses and authorizations
• All information you provide (including license details) is accurate, current, and complete

We reserve the right to verify licenses through public databases or third-party services and to suspend or terminate access if verification fails or if you violate these Terms.

2. User Content and Data Usage You are solely responsible for any content, data, documents, messages, or information ("User Content") you upload, post, transmit, or store on the Platform, including license information, deal documents, and transaction details.

By submitting User Content, you grant us a non-exclusive, royalty-free, worldwide, transferable, sub-licensable license to use, copy, modify, create derivative works, distribute, display, perform, and otherwise exploit such User Content as necessary to:

• Operate, provide, and improve the Platform
• Facilitate matching, agreements, deal management, verification, and reviews
• Comply with legal obligations

You retain ownership of your User Content. You represent and warrant that you have all rights necessary to grant this license and that your User Content does not infringe any third-party rights.

3. Platform Features and Limitations The Platform provides tools for:

• Searching and matching verified professionals
• Formalizing partnerships via multi-party e-signature agreements
• Managing deals in secure collaborative workspaces
• Submitting and viewing reviews/ratings
• License verification and trust-building features

We do not guarantee successful matches, deal closures, or outcomes. All real estate transactions remain governed by applicable state laws, and you are solely responsible for compliance with licensing requirements, referral rules (e.g., RESPA), and other regulations.

4. E-Signatures and Electronic Communications The Platform uses third-party e-signature services (e.g., Dropbox Sign). You consent to electronic signatures, records, and communications in accordance with the U.S. E-SIGN Act and applicable state laws. Electronic signatures are legally binding.

5. Confidentiality and Security We use commercially reasonable efforts to protect the confidentiality and security of your data, including encryption and access controls. We will not disclose your data to third parties without consent, except as required by law, to comply with legal process, or to enforce these Terms.

You agree to maintain the confidentiality of your account credentials and to notify us immediately of any unauthorized access.

6. User Conduct You agree not to:

• Upload, transmit, or store unlawful, harmful, infringing, defamatory, or objectionable content
• Use the Platform for illegal, fraudulent, or unauthorized purposes
• Attempt to interfere with, disrupt, or reverse-engineer the Platform
• Use automated means (bots, scrapers) without express written permission
• Impersonate others or misrepresent your credentials
• Transmit viruses, malware, or harmful code

7. Intellectual Property The Platform, including software, design, text, graphics, logos, and content (excluding User Content), is owned by us or our licensors and protected by U.S. and international copyright, trademark, and other laws. You may not copy, modify, distribute, or create derivative works without our written consent.

8. Limitation of Liability TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE AND OUR AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM YOUR USE OF OR INABILITY TO USE THE PLATFORM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

9. Indemnification You agree to indemnify, defend, and hold harmless us and our affiliates, directors, officers, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the Platform
• Your User Content
• Your violation of these Terms
• Your violation of any law, regulation, or third-party rights (including real estate licensing or compliance obligations)

10. Termination We may suspend or terminate your access at any time, with or without cause or notice, including for violation of these Terms, suspected fraud, or legal requirements. Upon termination, your right to use the Platform ceases, but certain provisions (e.g., licenses granted, indemnification, limitation of liability) survive.

11. Governing Law and Dispute Resolution These Terms shall be governed by the laws of the State of California, without regard to conflict of laws principles.

Any dispute arising from these Terms or your use of the Platform shall be resolved exclusively through binding arbitration in Los Angeles, CA under the rules of the American Arbitration Association, except for small claims court actions or injunctive relief. You waive any right to a jury trial or class action.

12. Changes to Terms We may update these Terms at any time. We will provide notice of material changes (e.g., via email or in-app notification). Continued use after changes constitutes acceptance.
